Terms of Service

These Terms of Service (“Terms”) govern access to and use of Privocio and related websites, APIs, dashboards, hosted services, and enterprise offerings provided by The Useless Company PTE LTD (“Privocio”, “we”, “us”, or “our”).

By accessing or using our services, you agree to these Terms.

Privocio provides voice-to-text and related transcription services, including hosted offerings, APIs, dashboards, and enterprise or self-hosted deployment options.

We may modify, improve, suspend, or discontinue parts of the services from time to time.

3. Eligibility and Accounts

You must be legally able to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must provide accurate and complete information when registering and keep your information up to date.

4. Acceptable Use

You may not use Privocio:

• For unlawful, fraudulent, deceptive, or harmful activity
• To infringe intellectual property or privacy rights
• To interfere with or disrupt the service
• To probe, scan, reverse engineer, or attempt unauthorized access to systems or accounts except as permitted by law
• To process content where you do not have the necessary rights, permissions, or legal basis
• In violation of our Acceptable Use Policy

5. Customer Content

You retain responsibility for content you submit for processing, including audio, prompts, and related data. You represent that you have the rights and permissions required to use such content with the service.

As currently designed, Privocio processes audio and does not intentionally store customer audio as persistent user content except where temporary handling is required for technical operation, security, troubleshooting, legal compliance, or agreed enterprise configurations.

6. API and Technical Use

If you use our API, you must follow our technical documentation, authentication requirements, rate limits, usage policies, and security requirements. We may suspend or throttle access where necessary to protect the service or enforce fair use.

7. Plans, Billing, and Payments

Paid plans may be offered on a subscription or custom contract basis. Fees, billing cycles, included usage, fair-use terms, and enterprise conditions will be described on the website, order form, or applicable agreement.

Payments may be processed through Stripe or other third-party providers.

Unless otherwise stated:

• Fees are non-refundable except where required by law
• Subscriptions renew automatically until canceled
• You are responsible for applicable taxes, duties, or levies

8. Enterprise and Self-Hosted Terms

Enterprise and self-hosted deployments may be governed by additional terms, statements of work, order forms, security terms, or data processing agreements. Where there is a conflict, the negotiated enterprise agreement will control to the extent permitted.

9. Intellectual Property

Privocio and its related software, branding, documentation, and service materials remain our property or the property of our licensors. These Terms do not grant you ownership of our intellectual property.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the service for your internal business or personal use, as applicable.

10. Privacy

Our Privacy Policy explains how we collect, use, and protect personal data. By using the service, you acknowledge our Privacy Policy.

11. Availability and Disclaimers

We aim to provide a reliable service, but we do not guarantee uninterrupted, error-free, or fully secure operation.

To the fullest extent permitted by law, the service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory.

12. Limitation of Liability

To the fullest extent permitted by law, The Useless Company PTE LTD and its affiliates, officers, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities.

Our total liability arising out of or relating to the service will not exceed the amount you paid us for the service during the 12 months preceding the event giving rise to the claim, or SGD 100 if you have not paid us, unless a different limit is stated in a separate agreement.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Indemnity

You agree to indemnify and hold harmless The Useless Company PTE LTD and its affiliates, officers, employees, and agents from claims, losses, liabilities, damages, and expenses arising out of your use of the service, your content, or your violation of these Terms or applicable law.

14. Suspension and Termination

We may suspend or terminate access to the service if you violate these Terms, create risk to the service or other users, fail to pay fees, or where required by law.

You may stop using the service at any time. Termination does not affect rights or obligations that by their nature should survive termination.

15. Governing Law

These Terms are governed by the laws of Singapore, unless otherwise specified in a separate enterprise agreement.

16. Dispute Resolution

Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Singapore, unless otherwise agreed in writing.

17. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted with a revised effective date. Continued use of the service after changes become effective constitutes acceptance of the updated Terms.
